Role & responsibilities

Job Description

Secretarial & Corporate Compliance
  • Ensure compliance with the provisions of the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable corporate laws and regulations.
  • Act as Compliance Officer under SEBI Listing Regulations for the listed entity.
  • Prepare, review, and file statutory forms, returns, reports, disclosures, and other filings with ROC, Stock Exchanges, SEBI, and other regulatory authorities within prescribed timelines.
  • Maintain statutory registers, records, minutes books, and secretarial documentation.
Board & Committee Meetings
  • Independently conduct and coordinate Board Meetings, Committee Meetings, and General Meetings in compliance with applicable laws.
  • Draft agenda papers, notices, resolutions, minutes, and supporting documents for Board and Committee Meetings.
  • Ensure implementation and follow-up of Board decisions and action points.
AGM / Shareholder Management
  • Manage and coordinate Annual General Meetings (AGM) and Extraordinary General Meetings (EGM).
  • Prepare AGM presentations, Board reports, corporate governance reports, and shareholder communications.
  • Handle shareholder grievances, investor correspondence, and liaison with Registrar & Share Transfer Agent (RTA).
Listing & Regulatory Compliances
  • Ensure timely compliance under SEBI (LODR) Regulations including:

  • Corporate Governance compliances

  • Disclosure requirements

  • Related Party Transactions

  • Shareholding pattern filings

  • Outcome and proceedings submissions

  • Insider Trading compliances
  • Coordinate with Stock Exchanges, Depositories, NSDL/CDSL, and regulatory authorities.

Corporate Governance
  • Support implementation of best corporate governance practices and compliance frameworks.
  • Assist in policy drafting, compliance monitoring, and internal governance processes.
  • Coordinate with internal departments, statutory auditors, secretarial auditors, and legal advisors during audits and due diligence exercises.
  • Exposure to corporate restructuring, investor relations, and governance practices.
Preferred candidate profile
  • Qualified Company Secretary (Member of ICSI).
  • Present experience of 5 to 6 year in a listed company is mandatory
  • Strong exposure to SEBI Listing Regulations, Companies Act, and Secretarial Standards.
  • Experience in independently conducting Board Meetings, Committee Meetings, and AGM proceedings.
  • Experience in preparing presentations and documentation for shareholders and Board members.
  • Good drafting, communication, presentation, and interpersonal skills.
  • Ability to coordinate with senior management, regulators, auditors, and stakeholders effectively.
  • Proficiency in MS Office and secretarial compliance platforms.
Note: - The selected candidate will initially join as Deputy Compliance Officer will be gradually transitioned to the role of Compliance Officer.
